This is to inform you that a meeting of Buy Back Committee of the Board of Directors of eClerx Services Limited (“Company”) is scheduled to be held on Friday, September 17, 2021, inter-alia, to consider and approve the final terms and conditions of Buy Back of Equity Shares of the Company, subject to shareholders’ approval. The results of the postal ballot seeking shareholders’ approval for the Buy Back will be announced prior to this meeting.

Further, pursuant to the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015, as amended and in terms of the Company’s Code of Conduct for Prohibition of Insider Trading, it is hereby intimated that the trading window for dealing in the securities of the Company for the relevant Designated Persons of the Company is being closed from today i.e. September 14, 2021 till the end of 48 hours after the declaration of outcome of Buy Back Committee meeting, to the stock exchanges, where the Equity Shares of the Company are listed.
